All new company registrations must have at least one director upon incorporation and at least one human director (i.e. not only a corporate director). In theory anyone can become a company director, subject to a few rules as paid out in the Companies Act. The main ones for private limited companies are:
- The person must not be disqualified from acting as a company director
- All directors must be aged 16 or over
- Directors cannot be undischarged bankrupts
- At least one director must be an actual person (rather than only other companies acting as directors)
Directors should be aware of the responsibilities that they will take on by becoming a director, to avoid penalties later on in the company’s life. Wisteria Formations discusses the main roles of directors after they have completed their company formation here.
