Company Formations: Maintaining the Company Register

Company RegistrationAs soon as a company has been incorporated, it will need to set up and maintain a statutory company registers.

Limited companies in the UK are required by law to keep their company register up to date and available for inspection. The register must include the following:

• Minute Book (to keep minutes of general meetings)

• Register of members

• Register of directors and secretaries

• Register of directors’ interests

• Register of allotments

• Register of transfers

• Register of mortgages ad debentures

The company register must be kept up to date as laid down by the Companies Act. Companies House provide useful guidelines in these respects. It includes a hard copy of the company certificate of incorporation (although not an official certificate), memorandum and articles of association as well as the company register; including the criterion above filed into separate headings for convenience.

We do provide you with the documents above in an electronic form with the basic service, although many clients choose to have it in paper format out of convenience. There is no specific legal requirement to keep it in paper or electronic form, it needs only be accessible.
