Step Two of Ten – Company Register

After you have formed your company, one of the most important things to do is prepare your company register.  Company secretaries or alternatively directors (if there is no company secretary) are legally required to keep an updated version of the company registers as laid out in the Companies Act 2006.

Following your company formation, the company register should be compiled and should contain all of your official company documents. This will include the following:

  • The registers of members
  • The registers of directors and secretaries
  • The register of applications and allotments
  • The memorandum and articles of association
  • The minutes of the company
  • Documents lodged with registrar of companies
  • Certificate of incorporation

It is important that these documents are updated if anything needs to be changed later in the company’s life. It is not a legal requirement to keep a hard copy of the company register and it can be kept electronically, as long as it is kept up to date.  However most copies choose to kept a hard copy for ease of reference.

Clearly there is a large volume of information to store in the company register and keeping it updated is not always straightforward.  Some company formation agents will compile the company register for you when you form your company.  You could also take advantage of company secretarial services which can be useful if you are unsure of what requirements you must comply with going forward.
