There are three documents you should receive when using a company formation agent to form your company – Memorandum and Articles of Association, Certificate of Incorporation and a Company Register.
1.) Memorandum and Articles of Association
The Memorandum of Association outlines the company and subscribers names and if the company is limited by shares it states the commitment by the subscribers to take (and pay for) at least one share each.
The Articles of Association outline the regulations governing the relationships between the shareholders and directors of the company such as the issuing of shares and the different voting and dividend rights associated with each class of shares. They also contain the objectives and liabilities of the company.
If an individual goes to Companies House to form a company directly then they will have to source a memorandum and articles suitable for their company and this takes time and can be complicated. Therefore company formation agents are useful in that they will draft standard documents and send these to you electronically.
2.) Incorporation Certificate
The incorporation certificate is a certificate confirming the incorporation and valid existence of the company. It is issued by Companies House upon the company’s incorporation. If you change your company name then Companies House will issue you with a new certificate however your company number will stay the same.
3.) Company Register
By law the company register must be kept up to date and provide information regarding all the agents and subscribers of the company as well as other important documents. You could be liable for monetary or civil penalties if you do not comply with this.
